Membership of the Network shall is open to any Suffolk-based association that is interested in furthering the Network's Objects and has submitted a completed application form to the Secretary, had its application approved by a meeting of the Executive Committee and paid any annual subscription (any such body being called in this constitution a "Member Organization").
There are two categories of membership; as follows:
Full membership: open to any not-for-profit organization screening films not more than three times in any week, including professionally-staffed arts organizations with or without charitable status (hereafter "Full Members"). Except for local authorities, town and parish councils, and organizations registered with the Charity Commission, organizations applying for membership in this category must also submit with their application a copy of their constitution, which must make explicit reference to the organization's not-for-profit status.
Associate membership: open to cinemas and other arts organizations run on commercial lines screening films more than three times in any week, whether with or without charitable status (hereafter "Associate Members").
Each Member Organization shall appoint an individual to represent it and to vote on its behalf at meetings of the Network (hereafter "Representative"); and may appoint an alternative to replace its appointed representative at any meeting of the Network if the appointed representative is unable to attend.
Every Member Organization shall have one vote, but only Representatives of Full Members shall be eligible to stand for election to the Executive Committee.
Each Member Organization shall notify the name and address of the Representative and of any alternate to the Secretary. If the Representative or alternate resigns from or otherwise leaves the Member Organization, he or she shall forthwith cease to be the representative of the Member Organization.
It shall be a condition of membership that, when using Network services, Member Organizations and their Representatives agree to abide by such lawful terms and conditions as the Executive Committee may from time to time determine in order to protect the Network's interests.
The Executive Committee may by majority and for good reason terminate the membership of any Member Organization, provided that the Representative of the Member Organization concerned shall have the right to be heard by the Executive Committee, accompanied by another representative of the Member Organization concerned, before a final decision is made.
